Sacyr Vallehermoso ultima la venta del 8% de Repsol a la china Sinopec o a un grupo de Latinoamérica
Sacyr, que se encuentra a las puertas de que venza el próximo 21 de diciembre el préstamo sindicado de 4.908 millones de euros que tiene asociado a su participación en Repsol (20%), continúa negociando con la banca acreedora.
Las fuentes consultadas explicaron que la venta de este 8% facilitaría un acuerdo con los bancos para cerrar la refinanciación, aunque podría retrasarse algunos días más allá de la fecha límite.
Si el paquete se vende a precios de hoy, en que Repsol cotiza por encima de los 22,3 euros, la banca saldaría sólo el 55% del crédito, puesto que un 8% de Repsol vale actualmente en Bolsa unos 2.200 millones de euros, según las fuentes consultadas.
De este modo, se mantendría como el principal accionista de la compañía al mantener un 12% de la misma, un porcentaje similar al del 12,9% que tiene el actual segundo socio CaixaBank, pero a ella sería preciso sumar la del 9,5% que Pemex tiene en Repsol, puesto que el acuerdo de sindicación entre la constructora y la compañía mexicana en el capital de Repsol se mantendría vigente a pesar de la transacción.
Uno de los puntos del pacto establece que su ruptura requiere que uno de los dos firmantes venda más de la mitad de la participaciones en Repsol. Otra de las cláusulas recoge la posibilidad de que uno de los firmantes, forzado por sus acreedores, se vea obligado a vender una participación sin que sea necesario ofrecer al socio derecho de tanteo.
En cuanto al resto del importe del préstamo, alrededor de 2.900 millones de euros, Sacyr negocia con los bancos su refinanciación con el fin de extender su plazo de pago en tres años, hasta el 31 de enero de 2015.
Sacyr adquirió en 2006 su participación en Repsol a un precio de 26,7 euros por acción, por lo que la venta de esta participación le arrojaría una minusvalía de unos 1.200 millones de euros.
Junto a esta opción de venta, en las negociaciones con la banca también se planteó la posibilidad de que se ejecutaran las garantías asociadas al préstamo, la venta de un paquete mayor o que Repsol adquiriera parte de estas acciones como autocartera.

La venta de un 8% de Repsol contaría además con el visto bueno de la propia petrolera, dado que participó en las negociaciones para la venta junto con los principales ejecutivos y accionistas de Sacyr.
Además, uno de los eventuales nuevos accionistas de la compañía que preside Antonio Brufau es ya socio de la petrolera en Brasil.
Repsol vendió en octubre de 2010 a china Sinopec el 40% de su filial de Brasil, lo que dio origen a la actual Repsol Sinopec Brasil, valorada en más de 13.000 millones de euros y considerada uno de los principales grupos energéticos del país.
En caso de que Sacyr vendiera sus títulos de Repsol a un grupo latinoamericano, sería el segundo de este continente presente en su capital.
