En una rueda de prensa celebrada durante un receso del VII Congreso de Directivos CEDE celebrado en Bilbao, el presidente de La Caixa, entidad que cuenta con el 12,5% en Repsol, se mostró convencido de que será «posible» un ‘acuerdo de paz’ en el accionariado de la petrolera.
«Estamos trabajando y las cosas se están desarrollando con toda naturalidad. No me queda la menor duda de que llegaremos a un acuerdo», aseguró.
Según precisó, el pacto deberá «poner a cada uno en su sitio» porque «cada accionista tiene unos derechos políticos» y no se puede «arrinconar» a ninguno «por un pacto entre otros».
«Cada uno tiene que respetar los intereses de los otros, pero la predisposición (al pacto) es total. No me cabe la menor duda. Se está haciendo con armonía, con mucha paz y tranquilidad», agregó.
Fainé afirmó que para él, el enfrentamiento «ya acabó» aunque «estas cosas que están firmadas necesitan un tiempo de diálogo». «Las negociaciones tienen un periodo, pero la actitud de todos es muy buena, de llegar a un acuerdo. Lo otro es ya cuestión de días o semanas», concluyó.

Por otra parte, Sacyr notificó a la Comisión Nacional del Mercado de Valores (CNMV) la resolución del pacto parasocial suscrito por el ahora expresidente, Luis del Rivero, con los accionistas José Manuel Loureda Mantiñán y Javier Gayo Pozo para sindicar sus derechos y pasar a controlar el 26,95% de la empresa.

El acuerdo suponía que Del Rivero, a través de Actividades Inmobiliarias Agrícolas y Rimefor Nuevo Milenio, Loureda, mediante las sociedades Prilou y Prilomi, y Gayo, que no se sienta en el Consejo pero tiene el 1,71 %, unían sus votos en Sacyr durante un año, plazo que podía prorrogarse automáticamente por años sucesivos.
En virtud del pacto, que se hizo público horas antes de que el Consejo de Sacyr cesase a Del Rivero y nombrase a Manuel Manrique nuevo presidente, los tres accionistas se comprometían a votar de forma conjunta en el máximo órgano de gobierno de la constructora, así como en la Junta. El bloque integrado por Del Rivero, Loureda y Gayo podía optar a un nuevo puesto en el Consejo de Administración, donde ya contaban con cuatro miembros, una petición que planteó sin éxito Del Rivero en el Consejo de la pasada semana.
Entre sus opositores, además de Demetrio Carceller y Juan Abelló (nuevos vicepresidentes de Sacyr), se encontraba Novacaixagalicia, nacionalizada en el 93% por el Estado, y que dejaba una vacante pendiente en el Consejo después de la dimisión de Ángel López Corona (ex director general adjunto de Caixanova), sustituido por María Victoria Vázquez, directora general adjunta de Finanzas y Mercados de la entidad.
El fin del acuerdo se produjo en el marco de las negociaciones que mantiene la constructora con la banca para refinanciar más de 4.900 millones de euros que tiene asociados a la compra del 20% de Repsol, y en plena batalla entre los directivos de Sacyr por el acuerdo propiciado por Del Rivero con Pemex para sindicar y aumentar su peso en la gestión de la petrolera.
Además, Sacyr solicitó la salida de Del Rivero del Consejo de Repsol, un órgano en el que el expresidente de la constructora no es bien recibido después del pacto con Pemex, malestar que se escenificó ayer con su destitución como vicepresidente de la petrolera.
