Dos consejeros de la CNE acusan al regulador de incumplir la ley en el análisis del caso Pemex-Repsol
«No se nos entregó, con las 48 horas de antelación que exige la ley, la propuesta de acuerdo que se iba a someter al consejo para votación», afirmaron los consejeros en un voto particular conjunto en contra de la decisión de la CNE de no estudiar la operación.
«Dicha propuesta se nos fue entregada a última hora de la tarde anterior al consejo, e incluso se modificó diez minutos antes del mismo», lo que, a su juicio, «supone un incumplimiento de lo previsto en el artículo 24 de la Ley 30/1992, del Régimen Jurídico de las Administraciones Públicas y del Procedimiento Administrativo Común».
Los consejeros explicaron que, tras remitirles la CNE en la tarde del 28 de septiembre el acuerdo en torno al informe del ponente Tomás Gómez, el consejo del organismo celebró un «largo debate matinal» el 29 de septiembre y, diez minutos antes de reiniciar la sesión a las cuatro de la tarde, cambió su propuesta.
Para los dos vocales, la «formación de la voluntad» en los órganos colegiados implica que sus miembros dispongan del «tiempo suficiente para preparar cada uno de los puntos del orden del día y estudiar detalladamente toda la información relevante».
«El plazo legalmente previsto no se respetó» en este expediente, indicaron posteriormente Zenarrutzabeitia y Guinart, quienes además recordaron que el miércoles 29 de septiembre Repsol presentó un escrito de alegaciones complementarias. Esta nueva información, dijeron, aconsejaba a la CNE dejar «tiempo suficiente» para su análisis, lo que no se hizo.
Por otro lado, estos dos consejeros emitieron un voto en contra del mayoritario en la CNE y se mostraron a favor del análisis del caso. La decisión final, indicaron, no responde a la «influencia real» que Pemex podría ejercer en Gas Natural Fenosa, no solo participada en un 30% por Repsol, sino también controlada por la propia petrolera, que dispone de un acuerdo parasocial con La Caixa para tomar el 67% de su capital.
Frente al criterio de la mayoría de la CNE, los dos consejeros afirmaron que la ley debe interpretarse de forma que Repsol y Gas Natural Fenosa sean considerados parte de un mismo grupo de sociedades. Como la segunda tiene actividad regulada, la CNE debería haber analizado la escalada accionarial de una compañía extracomunitaria como Pemex en Repsol, señalaron.

Otro de los consejeros de la CNE, Joan Batalla, emitió un voto particular en el que explicó los motivos de su abstención en el caso y en el que coincide con Zenarrutzabeitia y Guinart en que no hubo tiempo suficiente para el análisis.
